Event Terms and Conditions

These Terms and Conditions (“Terms”) apply to your registration for and participation at a Vercel event, including, without limitation, any Vercel conference or invite-only event (“Event”). By RSVP’ing, participating in, or attending an Event, you acknowledge that you have read, understand, and agree to the following Event Terms between you and the applicable Vercel entity hosting the Event, including our subsidiaries and affiliates (“Vercel,” “we,” “our,” or “us”).

The Event

Registration
You may only register for and attend the Event in accordance with these Terms. To register for the Event, you must complete the applicable Event registration process and pay any applicable registration fee(s). Event registration is subject to availability, and we may change the Event program at any time or cancel events, as determined solely by us.
Participation
In order to participate in the Event, you must:
  • Have the requisite power and authority to enter into these Terms
  • Have read and understood these Terms
  • Comply with our Event Code of Conduct, which is incorporated by this reference, at all times, and
  • Be at least 21 years old, or otherwise over the legal drinking age in your jurisdiction on the first day of the Event, if alcohol is being served at the Event.

Safety and Security

You understand that you and your property may be subject to a reasonable search upon entry to the Event. If you refuse to participate in our security measures, you may be denied entry to the Event.Event representatives reserve the right to ask you to leave the Event if:
  • Your behavior causes concern for the safety or security of us, Event attendees, partners, sponsors, speakers, moderators, vendors, organizers, or volunteers
  • You engage in behavior that violates these Terms or the Event Code of Conduct, or
  • You exhibit harassing or other prohibited behavior and do not comply immediately.
If we or an Event representative denies you entry or requires you to leave the Event, you will not receive a refund if you paid any fees.

Your Information

We handle any information or materials provided or presented by you to us (i.e., your contact information) in accordance with our Privacy Notice. We may provide your contact information to Event sponsors and they may use your information in accordance with their own privacy policies.
Photographs and Recordings
By participating in the Event, you agree that Vercel, Event sponsors and our partners may document, film, photograph, and capture your voice and image in any media at an Event (“Photos and Recordings”).You irrevocably and perpetually release and authorize us, our agents, employees, Event sponsors and partners to use, reproduce, modify, distribute, and translate, for any purpose relating to Vercel’s or the Event sponsor’s business, all or any part of the Photos and Recordings in any media now or hereinafter created throughout the world. You represent that you have the necessary rights and permissions to grant the authorization and that your Photos and Recordings do not violate any intellectual property or proprietary rights of any person or entity.You also agree that if you take any photos and/or recordings at the Event and provide them to us, you authorize us to use them in the same fashion as the Photos and Recordings above, and represent that any participants and attendees in your photos and/or recordings have also consented to such use.You irrevocably and perpetually waive all legal and equitable rights, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, libel, defamation, invasion of any rights of privacy, violation of rights of publicity, or any similar claim or cause of action in tort, contract, or any other legal theory, now known or hereafter known in any jurisdiction throughout the world arising from the Photos and Recordings.
Feedback
You acknowledge that you may provide ideas, suggestions, recommendations, or improvements (“Feedback”) to Vercel before, during, or after your participation at the Event. You assign and agree to assign to Vercel all right, title and interest in and to such Feedback. You agree to reasonably assist Vercel in perfecting any rights to such Feedback.

Cancellation and Termination

Your Cancellation
If registration fees or other fees are required for the Event, cancellation instructions and the Event’s refund policy, if applicable, will be listed on the Event registration page or website.
Vercel Cancellation
We may cancel all or any part of the Event at any time for any reason, and we may deny, limit, or cancel your Event registration at any time. Vercel is not responsible for any damages, direct or indirect, resulting from such cancellation. If we cancel the Event, we will issue you a refund in accordance with the refund policy, if applicable.If the Event is canceled for any reason, or for no reason, and after the Event date if the Event occurs, those sections of these Terms that are intended to survive shall so survive and will continue to apply.

Risk, Liability, and Indemnification

We aim to create a safe and secure environment at all our Events and ask that you help encourage the safety, trust, and security of everyone at the Event.
Assumption of Risk
You acknowledge that attending and participating in the Event is completely voluntary and that you understand the nature of the Event. You agree that you have carefully considered the risks inherent in any activities that you choose to take part in and that you have taken reasonable precautions before attending or participating in a Vercel Event. To the maximum extent permitted by law, you agree that you knowingly and voluntarily assume the risks associated with attending and participating in the Event.
Release of Liability
To the maximum extent permitted by law, you (and anyone else who might make a claim on your behalf or as a result of your death or injury) hereby release, waive, and discharge Vercel, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns, from any and all claims, demands, causes of action, damages, losses, or expenses (“Claims”) that you may have now or in the future associated in any way with the Event, Photos and Recordings, and/or Feedback.You expressly acknowledge and agree that all rights under Section 1542 of the California Civil Code and any similar or analogous statutes are expressly waived. Section 1542 provides: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY. You waive any right which you have or may have under Section 1542 to the full extent you may lawfully waive such rights pertaining to the Event, Photos and Recordings, and/or Feedback.
Limitation of Liability
OUR MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH THESE TERMS, THE EVENT, PHOTOS AND RECORDINGS AND/OR FEEDBACK WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) AND THE EVENT REGISTRATION FEES PAID BY YOU TO VERCEL, IF ANY. IN NO EVENT WILL WE BE LIABLE FOR ANY CONSEQUENTIAL, PUNITIVE OR INCIDENTAL DAMAGES OF ANY KIND, REGARDLESS OF THE NATURE OF THE CLAIM (INCLUDING NEGLIGENCE). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Indemnity
You agree to indemnify and hold Vercel, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns harmless, including costs, liabilities and legal fees, from any Claims made by any third party due to, related to, or connected with your attendance or conduct at the Event or any related event.

Governing Law and Dispute Resolution

These Terms and any claim, demand, cause of action, controversy, or dispute (“Dispute”) that may arise between you and us are governed by the laws of the State of California, without regard to its conflict of laws principles. Any Dispute will be resolved by binding arbitration by one (1) arbitrator, except that you may, to the maximum extent permitted by law, assert claims in small claims court. To initiate an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to legal@vercel.com. The parties agree that the Dispute will be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules and that judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. The arbitration will be held in the English language in San Francisco, California, or any other location both parties agree to in writing. The parties will share the costs of the arbitration equally provided that the prevailing party will be entitled to costs and attorneys’ fees. Except as may be required by law or as necessary to enforce the respective award in a court of law, neither party, nor the arbitrator, may disclose the existence, content, or results of any arbitration without the prior written consent of both parties.

Miscellaneous

Modifications
We may update these Terms at any time by posting a revised version on our website and updating the “Last Updated” date accordingly. The modified Terms become effective upon posting. By attending the Event, you agree to be bound by the most recent Terms. It is your responsibility to check our website regularly for modifications to these Terms.
Compliance
You represent and warrant that you and the financial institution(s) you used to pay any fees required for the Event are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties, or owned by such a party by an applicable government authority.
Severability and Waiver
If any provision in these Terms is invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the extent necessary, and the rest of the Terms remain in full force and effect. Any failure on Vercel’s part to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
Force Majeure
We are not liable for failure or delay in performance of our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, terrorism, riots, or war.
Entire Agreement
These Terms, and any terms incorporated by reference, state the entire agreement between you and us, and supersede any prior or contemporaneous agreements relating to the subject matter of these Terms. These Terms include links to other agreements or notices, which are hereby incorporated by reference.
